These Terms of Service (the "Terms") form a binding agreement between you and Worldwide AIS Network ApS, a company registered in Denmark under CVR number 45911748 with its registered office in Copenhagen ("MastChain", "we", "us", or "our"). They govern your access to and use of the MastChain website, the MastChain network, and any related services, software, and content (together, the "Services"). Please read them carefully.
By accessing or using the Services, or by operating a MastNode, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not access or use the Services.
1. Definitions
- "MastChain" or the "network" means the operator-run network for capturing, signing, and making available maritime AIS data.
- "MastNode" means the receiver hardware and software used to capture AIS signals and contribute coverage to the network.
- "MAST" means the utility and governance token used within the network.
- "Operator" means a person or organisation that runs one or more MastNodes.
- "Content" means all text, data, graphics, logos, software, and other material made available through the Services.
2. Eligibility and accounts
2.1 You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Services. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2.2 Where the Services require an account, you are responsible for providing accurate information, for keeping your credentials confidential, and for all activity that takes place under your account. You must notify us promptly of any unauthorised use.
3. Operating a MastNode
3.1 If you operate a MastNode, you are solely responsible for doing so lawfully and in accordance with all applicable radio, telecommunications, maritime, import, and other regulations in your jurisdiction.
3.2 You agree that you will:
- only receive and contribute signals that you are permitted to receive;
- keep your equipment, software, and credentials secure and reasonably up to date;
- provide accurate information about your station and its location; and
- not tamper with, falsify, replay, or spoof the data your station contributes, or otherwise seek to manipulate coverage or rewards.
3.3 You are responsible for the equipment, connectivity, and electricity required to operate a MastNode, and for any costs associated with them. We do not guarantee that operating a MastNode will be uninterrupted, or that any particular level of coverage or reward will be achieved.
4. MAST token
4.1 MAST is a utility and governance token used within the network. MAST is not an investment, security, or financial instrument, and we make no representation or promise as to its value or future value.
4.2 Holding, earning, or using MAST does not entitle you to any profit, return, yield, dividend, income, or ownership interest in us or in the network. The allocation, earning, and use of MAST are governed by the network's rules as they apply from time to time.
4.3 You are solely responsible for understanding and complying with any tax, reporting, and regulatory obligations that apply to you in connection with MAST, and for assessing the suitability of any participation in the network in light of your own circumstances.
5. Acceptable use
You agree not to, and not to permit any third party to:
- use the Services for any unlawful, fraudulent, or harmful purpose;
- interfere with, disrupt, or place an unreasonable load on the Services or the network, or attempt to circumvent any security or access control;
- access, or attempt to access, any system, account, or data without authorisation;
- submit false, spoofed, replayed, or tampered data, or misrepresent the origin of any data;
- reverse engineer, decompile, or attempt to derive the source code of any software, except to the extent expressly permitted by law or an applicable open-source licence;
- infringe the intellectual property or other rights of any person; or
- use the Services to transmit any malicious or unlawful material.
6. Intellectual property
6.1 The Services and all Content, including the MastChain name, logo, and software, are owned by us or our licensors and are protected by intellectual property and other laws. Except as expressly stated, nothing in these Terms grants you any right, title, or interest in the Services or Content.
6.2 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose. Certain components may be provided under separate open-source or third-party licences, which govern your use of those components to the extent of any conflict.
6.3 If you provide us with feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.
7. Third-party services and links
The Services may reference or link to third-party websites, products, or services that we do not control. We provide these for convenience only and are not responsible for their content, availability, or practices. Your use of any third-party service is subject to that third party's terms.
8. Changes to the Services
We are continually developing the Services and may add, change, suspend, or remove features, or impose limits on certain features, at any time and without liability, to the extent permitted by law. We may also suspend or restrict access to carry out maintenance or to protect the security or integrity of the network.
9. Suspension and termination
9.1 We may suspend or terminate your access to the Services, in whole or in part, with or without notice, if we reasonably believe that you have breached these Terms, that your conduct may harm us, other users, or third parties, or where required by law.
9.2 You may stop using the Services at any time. Provisions that by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability, indemnity, and governing law, will continue to apply.
10. Disclaimers
To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties or conditions of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error free, or that any data made available through the Services is complete or accurate.
11. Limitation of liability
11.1 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
11.2 Subject to clause 11.1, to the fullest extent permitted by law we will not be liable for any indirect, incidental, special, consequential, or punitive loss, or for any loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or in connection with the Services or these Terms, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility of such loss.
11.3 Subject to clause 11.1, our total aggregate liability arising out of or in connection with the Services and these Terms will not exceed one hundred euros (EUR 100).
12. Indemnity
You agree to indemnify and hold harmless Worldwide AIS Network ApS and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your use of the Services, your operation of a MastNode, or your breach of these Terms or of any applicable law.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and revise the date shown at the top. Where changes are material, we will take reasonable steps to notify you. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
14. General
14.1 Entire agreement. These Terms, together with any documents referred to in them, constitute the entire agreement between you and us in relation to the Services and supersede any prior agreement on the same subject matter.
14.2 Severability. If any provision is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
14.3 Waiver. A failure or delay in exercising any right under these Terms does not constitute a waiver of that right.
14.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a reorganisation, merger, or sale.
14.5 No partnership. Nothing in these Terms creates any partnership, agency, or employment relationship between you and us.
15. Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of Denmark, without regard to its conflict of laws rules. The courts of Copenhagen, Denmark, will have exclusive jurisdiction, save that this does not deprive a consumer of the protection of the mandatory provisions of the law of their country of residence.
